Miramichi Ex Call Shareholders Meeting

On November 29th at 7 pm, there will be a shareholders meeting.  On the agenda is (1) The Approval of the sale of a portion of the Corporation's land, (2) Confirmation and Ratification of the by-laws of the Corporation, and (3) Confirmation and ratification of the election of the current board of directors.  The text of these special resolutions are contained in the download file below.

On November 22nd, MO))) had a candid conversation with John Trevors,  the President of the MAEA.  He said the Corporation is only required to notify shareholders of meetings by mail, but many on the shareholder's list are deceased, and a large number do not have updated mailing addresses.  He showed a large box of notices that were returned to him by the post office because they could not be delivered because of improper addresses.  It is the responsibility of the shareholders to contact the office to update their mailing address.  Trevors did not indicate that the corporation has ever made any other types of attempts to contact shareholders.

Trevors said there if there are people out there who have claim to shares, it is not too late to come in and get that straightened out so they can participate in the shareholders meeting.  He also said he hopes more people would get involved in the organization, as he is getting old and tired.

Trevors recounted the timeline of the selection process for the new payroll centre.  He said they granted the option to the federal government to buy the property in April 2012.  He said many properties were considered, but only 2 made the shortlist.  He said the option to buy was extended in June, August, and was extended again last Friday to the 18th of December.  "So presumably," he said, "there will be a decision made shortly, and personally, I think this process has dragged out long enough.  If it happens,"  he said, "it will lead to the total revitalization of downtown Chatham."

Comment:  Trevors could be right, but the big federal office complex in Bathurst along the Bay of Chaleur has not revitalized Bathurst's downtown.  But we can still hope.

Trevors was the person recently named in a court action initiated by another MAEA shareholder, Edward Hitchman.  Under the Business Corporations Act of New Brunswick, Hitchman is seeking an order that:

  • some of the shareholders were being unfairly prejudiced or disregarded with respect to the business affairs of the MAEA.
  • John Trevors cease and desist from exercising control of the MAEA
  • blocks the sale of MAEA land until final disposition of the application
  • the MAEA bylaws be amended to reflect one vote per shareholder (not one vote per share)
  • the bylaws be amended to restrict the transfer of shares for the purpose of subverting the one vote per shareholder concept

Hitchman claims there was a shareholders meeting in 1990 at which Trevors purported to convert the MAEA to a company under the Business Corporations Act.  Hitchman says there was considerable opposition by other shareholders, but Hitchman claims that by this time, Trevors had amassed 300 shares and since then has acquired more from shareholders who have called the MAEA to find out how to dispose of their shares as he was the person running the office at the MAEA.

The records of those meetings cannot be found, and MO))) asked Trevors if the upcoming shareholders meeting was brought about in any by the court action.  "Our lawyers suggested we have the meeting that is now scheduled for the 29th of November.  Just to counter some of the things that were alleged in the court action.  I'm not so sure we couldn't have countered them without the meeting, and I just sent another email to our lawyers asking them if the meeting was even necessary now."   Trevors said that he has now found the minutes from the meeting in 1990 that they could not find at the time Hitchman's lawyer visited the MAEA office. (Note:  at the beginning of our conversation MO))) asked Trevors about the rumour we had heard that the court action was withdrawn.  Trevors said he had not received official word.  MO))) contacted the court house, and they said the hearing was still on the schedule for December 3rd).

Trevors was asked what he sees in the future for the Ex.  He said the land in question has not been used since 1982.  He doesn't think it will ever be needed to host another exhibition, and won't be needed for the company to stay in existence.  The money from the sale of the land will enable the company to stay in existence for another 50 years.  The 16 buildings here are expensive to maintain."

Regarding the role of the Ex in the community, Trevors said they have had some recent preliminary discussions with the Chatham Farmers Market about them using one of the buildings on the property.  "We'd be delighted to have them here, but we're not in the business of subsidizing them.  We want them to take the buildings and pay to look after them."

MO))) asked Trevors what the Ex's long-term business plans were.  Trevors acknowledges the focus of agriculture in the community has declined severely  but he says the corporation exists essentially to promote agriculture.  At one time he said they had plans to turn the Ex into a convention centre.  He produced plans from a tube that showed the two main buildings joined by a grand entrance that housed meeting rooms and other amenities.  He said the economy turned sour, and those plans are up in the air.
